Software License Agreement for Reactor Multiplayer Engine

This Software License Agreement ("Agreement") is entered into by the user ("Licensee") upon installation or use of any part of the Reactor Multiplayer Engine ("Software") provided by KinematicSoup Technologies Inc. ("Licensor"). Installation or use of any part of the Software indicates that the Licensee accepts the terms of this Agreement.

  1. Acceptance: By installing, copying, or otherwise using the Software, the Licensee agrees to be bound by the terms of this Agreement. If the Licensee does not agree to the terms of this Agreement, they are not permitted to install or use the Software.

  2. Grant of License: The Licensor hereby grants the Licensee a non-exclusive, non-transferable license to use the Software solely for development purposes. This license does not permit commercial use of the Software without prior written consent from the Licensor.

  3. Prohibition of Redistribution: The Licensee is expressly prohibited from redistributing, selling, leasing, renting, lending, or otherwise distributing any part of the Software or any derivative works thereof. The Licensee must not provide or make the Software available to any third party.

  4. Use Restrictions: The Licensee shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Software, except as permitted by law.

  5. Intellectual Property: The Software, including any copies and derivative works, is the property of the Licensor and is protected by copyright and other intellectual property laws. The Licensee does not acquire any rights, title, or interest in the Software, except for the limited use rights specified in this Agreement.

  6. Indemnification: The Licensee agrees to indemnify, defend, and hold harmless the Licensor, its affiliates, officers, directors, employees, consultants, agents, suppliers, and resellers from any and all third party claims, liability, damages, and/or costs (including, but not limited to, attorneys' fees) arising from the Licensee's use of the Software, the Licensee's violation of this Agreement, or the infringement or violation by the Licensee or any other user of the Licensee's account, of any intellectual property or other right of any person or entity.

  7. Data Collection and Privacy: The Licensor may collect anonymous usage information to improve the functionality and performance of the Software. This data will be strictly anonymous and will not include any information that can be used for personal identification unless explicitly permitted by the Licensee. The Licensor is committed to protecting the privacy and security of the Licensee's data and will comply with all applicable Canadian privacy laws and regulations in handling such data.

  8. Agreement Updates: The Licensor reserves the right to update this Agreement at any time and for any reason without notice to the Licensee. Updates to this Agreement will be posted on the Licensor's website at https://www.kinematicsoup.com/reactor/license. The Licensee is responsible for regularly reviewing the Agreement to obtain timely notice of such updates. Continued use of the Software after any such changes shall constitute the Licensee's consent to such changes.

  9. Termination: This Agreement is effective until terminated. The Licensee may terminate this Agreement at any time by destroying all copies of the Software. The Agreement will terminate immediately without notice from the Licensor if the Licensee fails to comply with any provision of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies.

  10. Disclaimer of Warranty: The Software is provided "as is" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

  11. Limitation of Liability: In no event will the Licensor be liable for any damages, including but not limited to direct, indirect, special, incidental, or consequential damages arising out of the use or inability to use the Software, even if advised of the possibility of such damages.

  12. Governing Law: This Agreement shall be governed by and construed under the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles.

By installing, copying, or otherwise using the Reactor Multiplayer Engine, the Licensee acknowledges that they have read and understand this Agreement and agree to be bound by its terms and conditions. If the Licensee does not agree to the terms of this Agreement, they must not install or use the Software.
